Terms of Service

These Terms of Service (“Terms”) govern use of SipSmart.io and related telecommunications services provided by SipSmart, LLC (“SipSmart,” “we,” “our,” or “us”). By creating an account, accessing services, or transmitting traffic, you (“Customer” or “you”) agree to these Terms. If you do not agree, do not use our services.

1. Services

SipSmart provides SIP-based telecommunications services, including voice origination, termination, Direct Inward Dialing (DID) numbers, and related platform services (“Services”).

Services are provided for lawful business use only. Consumer use is not permitted.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be legally authorized to enter into binding agreements on behalf of yourself or your organization
  • Provide accurate and complete business information during registration
  • Maintain a valid business entity in good standing

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@sipsmart.io if you suspect unauthorized access to your account.

You agree to provide accurate, current, and complete information and to update it as necessary. SipSmart reserves the right to suspend or terminate accounts with inaccurate or incomplete information.

4. Lawful Use & Compliance

Customer agrees to comply with all applicable laws and regulations, including:

  • The Telephone Consumer Protection Act (TCPA)
  • The Truth in Caller ID Act
  • FCC robocall mitigation rules and STIR/SHAKEN requirements
  • The Telemarketing Sales Rule (TSR)
  • All applicable federal, state, and local telemarketing laws
  • National Do Not Call Registry requirements

Customer shall not use Services for:

  • Illegal robocalls or unsolicited automated calls
  • Spoofed or falsified caller ID
  • Calling consumers without required prior express consent
  • Fraudulent, deceptive, or misleading traffic
  • Harassment, abuse, or threats
  • Any activity that violates applicable law

Important: Violations of this section may result in immediate termination and may be reported to the FCC, FTC, and other regulatory authorities.

5. Caller ID Requirements

Customer may only transmit calls using:

  • Telephone numbers assigned to Customer by SipSmart; or
  • Numbers Customer is legally authorized to use and has documented authority over.

SipSmart may block or suspend traffic using unauthorized, suspicious, or unverified caller ID at its sole discretion. Customer is responsible for ensuring all caller ID information is accurate and compliant with the Truth in Caller ID Act.

6. Traffic Monitoring & Acceptable Use

SipSmart reserves the right to monitor traffic patterns for compliance, fraud prevention, and network integrity. If suspicious or non-compliant traffic is detected, SipSmart may, without prior notice:

  • Suspend services or specific routes
  • Block specific numbers or traffic patterns
  • Request documentation or certifications
  • Terminate service
  • Report activity to regulatory authorities

SipSmart’s determination of risk, fraud, or non-compliance is final. Customer agrees not to circumvent any traffic controls or monitoring measures.

7. Traceback & Regulatory Cooperation

Customer agrees to fully cooperate with any regulatory or industry traceback investigation, including those initiated by the Industry Traceback Group (ITG), FCC, or law enforcement. Customer shall provide requested documentation within the timeframe specified in any traceback request.

Failure to cooperate with a traceback request or regulatory inquiry may result in immediate suspension or termination of services.

8. Robocall Mitigation

Customer represents and warrants that it has implemented a Robocall Mitigation Program as required by FCC regulations and has filed or will file the required certification with the FCC Robocall Mitigation Database. Customer agrees to provide SipSmart with a copy of its mitigation program upon request.

SipSmart maintains its own Robocall Mitigation Program and may take action against traffic that violates its mitigation obligations, including blocking or terminating traffic from non-compliant upstream providers.

9. Payments

Customer agrees to:

  • Pay all applicable charges, fees, and taxes for Services used
  • Maintain a valid payment method on file
  • Pay invoices within the terms specified at time of account setup

Failure to pay may result in suspension of Services. All fees are non-refundable unless otherwise required by applicable law. SipSmart reserves the right to modify pricing with reasonable notice. Disputed charges must be raised within 30 days of the invoice date.

10. Suspension & Termination

SipSmart may suspend or terminate Services immediately, without notice, if:

  • Illegal or non-compliant activity is suspected or detected
  • Required documentation or certifications are not provided
  • Regulatory risk or liability arises from Customer's traffic
  • Customer breaches any provision of these Terms
  • Customer fails to pay amounts due
  • Customer becomes insolvent or files for bankruptcy

Customer may terminate Services by providing 30 days written notice to support@sipsmart.io. Customer remains liable for all charges incurred through the termination date.

11. Disclaimer of Warranties

Services are provided “as is” and “as available” without warranties of any kind, express or implied. SipSmart does not guarantee uninterrupted, error-free, or secure service. SipSmart expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

SipSmart does not warrant that the Services will meet Customer’s specific requirements or that any defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SipSmart shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits or revenue
  • Loss of data or business interruption
  • Regulatory fines, penalties, or legal costs arising from Customer's conduct
  • Damages resulting from unauthorized access to Customer's account

SipSmart’s total cumulative liability to Customer shall not exceed the total fees paid by Customer in the 30 days immediately preceding the event giving rise to the claim.

13. Indemnification

Customer agrees to indemnify, defend, and hold harmless SipSmart, its officers, directors, employees, and agents from and against any claims, damages, losses, penalties, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Customer's use of the Services
  • Customer's traffic, including any illegal or non-compliant calls
  • Violations of TCPA, Truth in Caller ID Act, or other telemarketing laws
  • Failure to obtain required consumer consent
  • Breach of these Terms
  • Any third-party claims related to Customer's use of the Services

14. Force Majeure

SipSmart shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government actions, internet or network outages, or third-party service failures.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and Customer consents to personal jurisdiction in such courts.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally by contacting support@sipsmart.io and allowing 30 days for resolution.

16. Modifications

SipSmart may update these Terms at any time by posting the revised Terms at sipsmart.io/tos with an updated “Last Updated” date. Continued use of Services after the effective date of any modification constitutes acceptance of the updated Terms. For material changes, SipSmart will provide notice via email or through the platform.

17. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any order forms or service agreements, constitute the entire agreement between Customer and SipSmart regarding the Services and supersede all prior agreements or understandings.
